1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lanos Technologies Pvt. Ltd. ("ComplyZero," "we," "us," or "our"), a company incorporated under the laws of India with its registered office at Silver Square, Dattatray Road, Santacruz West, Mumbai, India.
By accessing or using our website at www.complyzero.com (the "Website") or any services we offer (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, please do not use our Website or Services.
2. Description of Services
ComplyZero is a self-serve compliance platform designed to help Indian businesses comply with the Digital Personal Data Protection Act, 2023 ("DPDP Act") and the Digital Personal Data Protection Rules, 2025 ("DPDP Rules"). Our Services include, but are not limited to:
- Consent management and consent artefact generation
- Data Subject Request (DSR) workflow management
- Privacy notice generation in multiple Indian languages
- Compliance monitoring and audit-ready record keeping
- Educational content, blog articles, and compliance guides
Pre-Launch Notice: ComplyZero is currently in pre-launch phase. Certain features described on our Website may not yet be available. We will notify waitlist subscribers when the full platform launches.
3. Eligibility
You must meet the following requirements to use our Services:
- You must be at least 18 years of age or the age of majority in your jurisdiction
- If using the Services on behalf of a business or legal entity, you must have the authority to bind that entity to these Terms
- You must not be prohibited from using the Services under applicable Indian law or the laws of any other jurisdiction
4. Account Registration and Security
When our platform launches, you may be required to create an account to access certain features. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately at hello@complyzero.com if you suspect unauthorized access to your account
5. Acceptable Use
You agree not to use the Website or Services to:
- Violate any applicable law, regulation, or third-party rights
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to our systems, networks, or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Scrape, crawl, or use automated means to access the Services without our written consent
- Use the Services to generate or store false compliance records or misleading consent artefacts
- Resell, sublicense, or redistribute the Services without our prior written approval
6. Intellectual Property
6.1 Our Intellectual Property
All content on the Website, including text, graphics, logos, icons, images, software, and the ComplyZero brand identity, is owned by or licensed to Lanos Technologies Pvt. Ltd. and is protected by Indian copyright, trademark, and intellectual property laws. The "ComplyZero" name, logo, and all related marks are trademarks of Lanos Technologies Pvt. Ltd.
6.2 Your Content
You retain ownership of any data, content, or materials you submit through the Services ("User Content"). By using the Services, you grant us a limited, non-exclusive license to process your User Content solely for the purpose of providing the Services to you. We will not use your User Content for any other purpose without your explicit consent.
6.3 Blog Content License
Articles, guides, and educational content published on our blog are provided for informational purposes. You may share links to our blog content freely, but reproducing substantial portions requires our prior written consent.
7. Subscription, Fees, and Payment
Upon platform launch, ComplyZero will offer both free and paid subscription tiers. Specific pricing, features, billing cycles, and payment terms will be published on our Website at the time of launch. By subscribing to a paid plan, you agree to:
- Pay all applicable fees as described in your selected plan
- Provide valid payment information and authorise recurring charges where applicable
- Be responsible for all taxes imposed on your use of the Services
We reserve the right to modify our pricing with reasonable prior notice. Any price changes will not affect your current billing cycle.
8. Service Availability and Modifications
We strive to maintain high availability of the Services, but we do not guarantee uninterrupted or error-free access. We reserve the right to:
- Modify, suspend, or discontinue any part of the Services with reasonable notice
- Perform scheduled maintenance, which may temporarily affect availability
- Update features, functionality, or the user interface to improve the Services
9. Data Processing and Privacy
Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
When the full platform launches, we will make available a Data Processing Agreement (DPA) for customers who process personal data through our Services, in compliance with the DPDP Act, 2023 and the DPDP Rules, 2025.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the fullest extent permitted by applicable law, ComplyZero disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Not Legal Advice: The content on our Website, including blog articles, compliance guides, checklists, and automated outputs, is provided for informational purposes only and does not constitute legal, regulatory, or professional advice. While we strive for accuracy, you should consult with qualified legal counsel for advice specific to your situation. ComplyZero does not guarantee that use of our Services will result in full compliance with the DPDP Act or any other regulation.
11. Limitation of Liability
To the maximum extent permitted by applicable Indian law, Lanos Technologies Pvt. Ltd. and its directors, employees, agents, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business opportunities, or goodwill
- Any regulatory penalties, fines, or enforcement actions arising from your use of or reliance on the Services
- Any damages arising from events beyond our reasonable control
In no event shall our total aggregate liability exceed the amount you have paid us in the twelve (12) months preceding the claim, or ₹10,000 (Indian Rupees Ten Thousand), whichever is greater.
12. Indemnification
You agree to indemnify, defend, and hold harmless Lanos Technologies Pvt. Ltd., its directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any User Content you submit through the Services
13. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us at hello@complyzero.com. Upon termination:
- Your right to access the Services will immediately cease
- We will delete your personal data in accordance with our Privacy Policy and the DPDP Act, unless retention is required by law
- We will provide you with a reasonable opportunity to export your data before deletion
- Sections relating to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive termination
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days from the date of the written notice of the dispute.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Updating the "Last updated" date at the top of this page
- Sending a notification to your registered email address (for account holders)
- Posting a prominent notice on our Website
Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ComplyZero regarding the use of our Services, superseding any prior agreements or understandings.
